Terms of Service

Professional B2B cooperation terms for OEM/ODM tissue paper manufacturing services. Please review these terms carefully before placing orders.

Cooperation Scope

Applicable business relationships and service boundaries

1.1 Eligible Partners

  • B2B Only: Registered companies, distributors, importers, and wholesalers
  • Commercial Volume: Minimum order quantities as specified in Section 2
  • Geographic Coverage: Global export markets (excluding domestic China retail)

1.2 Service Categories

OEM Services

Manufacturing under your brand with custom packaging and specifications

ODM Services

Complete product development including design, packaging, and manufacturing

1.3 Exclusions

  • • Individual consumers or retail customers
  • • Orders below minimum commercial quantities
  • • Domestic China market distribution

3.1 Sample Policy

  • • Special specifications: $100-300
  • • Refundable upon order confirmation

3.2 Tooling & Mold Ownership

Printing Plates & Dies

Customer owns after payment. Can be transferred for production elsewhere.

Packaging Molds

Shared ownership. Customer has exclusive usage rights for their designs.

Storage & Maintenance

Free storage for 2 years. Maintenance costs shared for longer periods.

3.3 Design Services

Additional Charges

  • • Complex graphic design: $300-800
  • • Multiple design revisions: $100/round

4.2 Quality Standards

Physical Properties

  • • Absorbency rate: As specified
  • • Softness index: Consistent across batches
  • • Dissolution time: Fast/Standard options

Packaging Quality

  • • Print registration: ±1mm
  • • Color consistency: ΔE ≤ 2
  • • Sealing strength: No leakage
  • • Carton compression: Transport-safe

4.3 Warranty & Claims

Quality Guarantee Period

12 months from production date for manufacturing defects

Claim Response Time

24 hours acknowledgment, 72 hours investigation report

Resolution Options

Replacement, credit note, or proportional refund based on claim validity

Liability & Dispute Resolution

Breach of contract consequences and legal procedures

5.1 Breach of Contract

Customer Responsibilities

Payment Delays

1% monthly interest on overdue amounts

Order Cancellation

50% of order value if production started

Specification Changes

Additional costs + 30% handling fee

Manufacturer Responsibilities

Delivery Delays

0.5% of order value per week (max 5%)

Quality Issues

Replacement + reasonable compensation

Confidentiality Breach

Damages as determined by arbitration

5.2 Force Majeure

Neither party shall be liable for delays or failures due to:

  • • Natural disasters (earthquakes, floods, etc.)
  • • Government actions or policy changes
  • • War, terrorism, or civil unrest
  • • Pandemic or health emergencies
  • • Raw material shortages beyond control
  • • Transportation or port strikes

Notice Requirement: Affected party must notify within 7 days with supporting documentation

5.3 Dispute Resolution Process

30 days for parties to resolve amicably

Third-party mediation through trade associations

Final binding arbitration in Hong Kong (HKIAC rules)

5.4 Governing Law

English version prevails in case of translation disputes
